AGREEMENT BETWEEN USER AND THE DEAL SPOT LLC

The Deal Spot website, mobile applications, software, content, and all related services (collectively, the 'Platform') is an online platform owned and operated by The Deal Spot LLC, which is a Utah limited liability company.

The Platform is offered to you conditioned on your acceptance without modification of the terms, conditions, and notices contained herein. Your use of the Platform constitutes your agreement to all such terms, conditions, and notices.

MODIFICATION OF THESE TERMS OF USE

The Deal Spot LLC reserves the right to change the terms, conditions, and notices under which the Platform is offered.

AFFILIATE DISCLOSURE

THE PLATFORM MAY CONTAIN AFFILIATE LINKS TO PRODUCTS AND SERVICES OFFERED BY THIRD-PARTY RETAILERS AND MERCHANTS. IF YOU CLICK ON AN AFFILIATE LINK AND MAKE A PURCHASE, THE DEAL SPOT LLC MAY RECEIVE A COMMISSION OR OTHER COMPENSATION FROM THE RETAILER OR MERCHANT. THIS COMPENSATION IS PROVIDED AT NO ADDITIONAL COST TO YOU AND HELPS SUPPORT THE OPERATION, MAINTENANCE, AND CONTINUED DEVELOPMENT OF THE PLATFORM. THE DEAL SPOT LLC STRIVES TO SHARE VALUABLE DEALS WITH ITS USERS REGARDLESS OF WHETHER COMPENSATION IS RECEIVED.

ANONYMOUS USE, ACCOUNT REGISTRATION & PAYMENTS

You may browse the Platform and click through to third-party retailers (such as Amazon or Walmart) anonymously, without creating an account. No account is required to access the core features of the Platform.

Creating an account is optional and free, and enables additional features such as liking, saving, and watching deals. We do not require or collect any personal information in order to create or use an account — we do not ask for your name, email address, phone number, or any other information that identifies you, and we do not retain your IP address in any form that can identify you. You are responsible for maintaining control and security of the device(s) and authenticator(s) used to access your account, and for any activity that occurs under your account.

We may collect anonymous information about how the Platform is used, including by account holders, in order to operate, maintain, and improve the Platform. Because we do not collect names, email addresses, phone numbers, or other identifying information, and do not retain IP addresses in any form that can identify you, this usage information cannot be attributed or traced back to any individual.

Children. The Platform is not directed to, and is not intended for use by, children under the age of 13. We do not knowingly collect any information about any individual, including children. If you believe that we have inadvertently collected information relating to a minor, please contact us using the information below and we will promptly correct the issue.

Payments. The Deal Spot LLC never requests, collects, receives, or processes any payment or financial information, and does not handle payments or transactions of any kind. All purchases and transactions are made directly between you and the applicable third-party merchant (such as Amazon or Walmart). We have no access to, and no knowledge of, your payment information, which is handled solely by the merchant under that merchant's own terms and policies.

INFORMATION FROM, AND LINKS TO, THIRD-PARTY SITES

The Platform contains links to other websites ("Linked Sites"). The Linked Sites are not under the control of The Deal Spot LLC and The Deal Spot LLC is not responsible for the content of any Linked Site, including, without limitation, any link contained in a Linked Site, or any changes or updates to a Linked Site. The Deal Spot LLC is not responsible for webcasting or any other form of transmission received from any Linked Site. The Deal Spot LLC is providing these links to you only as a convenience, and the inclusion of any link does not imply endorsement by The Deal Spot LLC of the site or any association with its operators.

The Platform is an online affiliate deal discovery platform that connects users of the Platform to sellers of goods on Linked Sites. The Deal Spot LLC is not a party to any transaction between its users and sellers that originates on or through the Platform. Information about a particular item is supplied by the seller, not by The Deal Spot LLC. The price and other terms of any sale remain subject to direct negotiation between the buyer and the seller.

The prices listed by sellers on the Platform often exclude sales tax and shipping fees, any or all of which may be added to the listed price to arrive at the final sale price of a particular item. Before purchasing any good or service you have read about on the Platform, you should confirm with the seller any information, including the price that is important to your purchasing decision. The Deal Spot LLC is not responsible for, and does not guarantee the performance of, any goods or services listed or researched on the Platform.

Although The Deal Spot LLC makes available links to websites of third-party providers of products and services, it is not responsible for the prices, terms, quality, reliability, or performance of the products or services provided by them. Your correspondence or business dealings with, or participation in the promotions of, vendors or other third parties found on or through the Platform, including payment and delivery of goods or services and any other terms, conditions, warranties, or representations associated with such dealings, are solely between you and such third party. We are not responsible or liable for any loss or damage incurred as the result of such dealings with, or the presence of, such third-parties on the Platform.

NO UNLAWFUL OR PROHIBITED USE

As a condition of your use of the Platform, you warrant to The Deal Spot LLC that you will not use the Platform for any purpose that is unlawful or prohibited by these terms, conditions, and notices. You may not use the Platform in any manner which could damage, disable, overburden, or impair the Platform or interfere with any other party's use and enjoyment of the Platform. You may not obtain, or attempt to obtain, any materials or information through any means not intentionally made available or provided for through the Platform.

CONTENT MODERATION

The Deal Spot LLC reserves the right, but not the obligation, to review, remove, edit, refuse to publish, or restrict any user content, deal, comment, image, or account at its sole discretion and without prior notice.

MATERIALS SUBMITTED TO THE PLATFORM

The Deal Spot LLC does not claim ownership of the materials you provide to The Deal Spot LLC (including feedback and suggestions) through a post, upload, input, or submission to the Platform or its associated services (collectively "Submissions"). However, you are warranting that the owner of such content has expressly granted The Deal Spot LLC a royalty-free, perpetual, irrevocable, worldwide, nonexclusive right to use, reproduce, create derivative works from, modify, publish, edit, translate, distribute, perform, and display the communication or Content in any media or medium, or any form or format now known or hereafter developed.

The Deal Spot LLC is under no obligation to use any Submissions you may provide in The Deal Spot LLC's sole discretion.

By posting, uploading, inputting, providing, or submitting your Submission, you warrant and represent that you own or otherwise control all of the rights to your Submission as described in this section including, without limitation, all the rights necessary for you to provide, post, upload, input or submit the Submissions. You agree that any Submission is non-confidential.

ARTIFICIAL INTELLIGENCE

The Platform may use artificial intelligence ("AI") and other automated technologies to generate, modify, enhance, summarize, categorize, recommend, or personalize content, including but not limited to text, images, product descriptions, promotional materials, and other information. While we strive for accuracy, AI-generated or AI-modified content may contain errors, inaccuracies, or omissions. Users should independently verify any information, pricing, product details, images, availability, or other content before relying on it or making purchasing decisions. The Deal Spot LLC makes no representations or warranties regarding the accuracy, completeness, or reliability of AI-generated or AI-assisted content.

PRICING, PRODUCT INFORMATION, AND DEAL ACCURACY

Prices, discounts, coupons, promotions, product descriptions, availability, shipping costs, and other information displayed on the Platform are obtained from third-party retailers and may change or become unavailable without notice. While The Deal Spot LLC strives to provide accurate and timely information, we do not guarantee the accuracy, completeness, or availability of any deal, product, or promotion. Users are responsible for verifying all pricing, product details, and other information directly with the retailer before making a purchase.

LIABILITY DISCLAIMER

THE INFORMATION, SOFTWARE, PRODUCTS, AND SERVICES INCLUDED IN, OR AVAILABLE THROUGH, THE PLATFORM MAY INCLUDE INACCURACIES OR TYPOGRAPHICAL ERRORS. CHANGES ARE PERIODICALLY ADDED TO THE INFORMATION HEREIN. THE DEAL SPOT LLC MAY MAKE IMPROVEMENTS AND/OR CHANGES TO THE PLATFORM AT ANY TIME. INFORMATION RECEIVED VIA THE PLATFORM SHOULD NOT BE RELIED UPON FOR PERSONAL OR FINANCIAL DECISIONS.

THE DEAL SPOT LLC MAKES NO REPRESENTATIONS ABOUT THE SUITABILITY, RELIABILITY, AVAILABILITY, TIMELINESS, AND ACCURACY OF THE INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS CONTAINED ON THE PLATFORM FOR ANY PURPOSE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALL SUCH INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS ARE PROVIDED "AS IS" WITHOUT WARRANTY OR CONDITION OF ANY KIND. THE DEAL SPOT LLC HEREBY DISCLAIMS ALL WARRANTIES AND CONDITIONS WITH REGARD TO THIS INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE DEAL SPOT LLC BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL DAMAGES OR ANY DAMAGES WHATSOEVER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF USE, DATA OR PROFITS, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OR PERFORMANCE OF THE PLATFORM, WITH THE DELAY OR INABILITY TO USE THE PLATFORM OR RELATED SERVICES, THE PROVISION OF OR FAILURE TO PROVIDE SERVICES, OR FOR ANY INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS OBTAINED THROUGH THE PLATFORM, OR OTHERWISE ARISING OUT OF THE USE OF THE PLATFORM, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, EVEN IF THE DEAL SPOT LLC HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGES. BECAUSE SOME STATES/JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU. IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE PLATFORM, OR WITH ANY OF THESE TERMS OF USE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE PLATFORM.

TERMINATION/ACCESS RESTRICTION

The Deal Spot LLC reserves the right, in its sole discretion, to terminate your access to the Platform and the related services or any portion thereof at any time, without notice. To the maximum extent permitted by law, this Agreement is governed by the laws of the State of Utah, U.S.A. and you hereby consent to the exclusive jurisdiction and venue of courts in Washington County, Utah, U.S.A. in all disputes arising out of or relating to the use of the Platform. Use of the Platform is unauthorized in any jurisdiction that does not give effect to all provisions of these terms and conditions, including without limitation this paragraph. You agree that no joint venture, partnership, employment, or agency relationship exists between you and The Deal Spot LLC as a result of this agreement or use of the Platform. The Deal Spot LLC's performance of this Agreement is subject to existing laws and legal process, and nothing contained in this Agreement is in derogation of The Deal Spot LLC's right to comply with governmental, court and law enforcement requests or requirements relating to your use of the Platform or information provided to or gathered by The Deal Spot LLC with respect to such use.

If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect. Unless otherwise specified herein, this Agreement constitutes the entire agreement between the user and The Deal Spot LLC with respect to the Platform and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between the user and The Deal Spot LLC with respect to the Platform. A printed version of this Agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon, or relating to, this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. It is the express wish of the parties that this agreement and all related documents be drawn up in English.
